1. Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and InfoAsk LLC ("Licensor") governing your use of CrestBid software ("the Software"). By installing, copying, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
2. License Grant
Subject to the terms of this EULA and applicable subscription fees, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the Software for internal business purposes.
The scope of the license depends on your subscription tier:
- Starter: Single-device installation for 30-day evaluation. No commercial use permitted beyond evaluation.
- Professional: Licensed to a single named user across up to 3 devices.
- Team: Licensed to up to 10 named users as specified in your subscription.
- Enterprise: Licensed to the number of named users specified in your Enterprise agreement.
3. Ownership
The Software is licensed, not sold. InfoAsk LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. CrestBid is a trademark of InfoAsk LLC.
4. Permitted Uses
You may:
- Install the Software on the number of devices permitted by your license tier
- Use the Software for internal bid preparation and response activities
- Create and store bid documents, proposals, and knowledge base entries
- Generate AI-assisted responses for your organization's bids
- Create custom prompt templates for your workflows
- Back up the Software and your data for disaster recovery purposes
5. Prohibited Uses
You may not:
- Reverse engineer, decompile, or disassemble any part of the Software
- Remove, alter, or obscure any proprietary notices, labels, or marks
- Use the Software to provide hosted services, SaaS, or consulting that competes with CrestBid
- Redistribute, rent, lease, lend, or sublicense the Software
- Extract or use any part of the Software for building competing products
- Bypass or circumvent license activation mechanisms
- Share license credentials with unauthorized users
- Use the Software to process content that violates applicable laws
6. AI Model Licensing
The Software may include or reference third-party AI models. Each AI model is subject to its own license terms. By using AI models through CrestBid, you agree to comply with the respective model licenses. InfoAsk LLC is not responsible for enforcing third-party model license compliance.
7. Updates and Patches
Licensor may provide updates, patches, or new versions of the Software. Licensees with active subscriptions receive updates at no additional cost. Updates are subject to this EULA unless accompanied by a separate agreement.
8. Termination
Your license terminates automatically upon:
- Expiration of your subscription or evaluation period
- Breach of this EULA (immediate termination by Licensor)
- Voluntary discontinuation of use
- Bankruptcy or insolvency of either party
Upon termination, you must cease all use of the Software and permanently delete all copies from your systems.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INFOASK LLC DOES NOT WARRANT THAT THE FUNCTIONS OF THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INFOASK LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. AI Output Disclaimer
AI-generated content produced by the Software should be reviewed by qualified personnel before use in any official submission. InfoAsk LLC does not guarantee the accuracy, completeness, or appropriateness of AI-generated responses. Licensee is solely responsible for the content of any bids or proposals submitted using outputs from the Software.
12. Governing Law
This EULA is governed by the laws of the jurisdiction in which InfoAsk LLC is organized. Any disputes shall be resolved in the courts of that jurisdiction.
13. Entire Agreement
This EULA constitutes the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous agreements, representations, and understandings.
